Report of the Study Group on Disclosure in Mergers and Reorganizations of Financial Institutions (Only in Japanese)

The "Study Group on Disclosure in Mergers and Reorganizations of Financial Institutions" (Group leader: Professor Shinsaku Iwahara, Graduate School of Tokyo University), with JBA serving as the secretariat, compiled its report.

The report maintains that in disclosing corporate customer information, which so-called due diligence requires, the duty to maintain confidentiality should not be applied with inflexible uniformity, as is the case with loans. The report says that both the necessity and propriety of disclosure and disclosure's effect on customers must be considered comprehensively before making a decision. The report cites five criteria to use when making this decision: (1) purpose of disclosure, (2) content of information, (3) effect on corporate borrowers, (4) party to obtain the information and (5) the information management system. Furthermore, the report specifically raises points to note in following the above process.
